123 Reg Logo Design Service Terms and Conditions

1. General Terms

1.1 These 123 Reg ‘Logo Design service terms and conditions’ are subject to 123 Reg’s General Terms and Conditions and Acceptable Use Policy. The Client acknowledges and accepts that they are bound by these terms which are hereby incorporated and made an integral part of this Agreement. In the event of any conflict between 123 Reg’s General Terms and Conditions, these Logo Design service terms and conditions shall prevail.

1.2 The headings used in the Agreement are inserted for convenience only and are not intended to be part of nor to affect the meaning or interpretation of any of the Agreement. In the Agreement the masculine includes the feminine and vice versa, and the singular includes the plural and vice versa as the context shall admit or require. Terms used but not defined herein shall have the meanings ascribed to them in the 123 Reg’s General Terms and Conditions.

1.3 These terms apply to all new and existing Clients of 123 Reg located anywhere in the world seeking to use the Logo Design service (as defined below).

1.4 123 Reg has the right to amend or vary the Logo Design service in its sole discretion.

2. Logo Design Service

2.1 The Logo Design Service is offered in two plans:

2.1.1 Standard Plan includes the creation of three (3) logo concept designs within ten working days of the information provided by the Client in the Logo Design Brief, one (1) round of requested revisions to the selected design and one (1) final custom logo design; and

2.1.2 Premium Plan includes the creation of three (3) logo concept designs within five working days of the information provided by the Client in the Logo Design Brief, up to three (3) rounds of requested revisions to the selected design and one (1) final custom logo design. The Premium Plan further includes:

(i) one monochrome logo;

(ii) one brand mark icon; and

(iii) a social media kit containing profile pictures for Facebook, Instagram, Twitter and LinkedIn, as well as a standard banner featuring the logo.

2.2 123 Reg will charge a fee for additional designs/revisions requested by you. The amount of the fee will be communicated to you and is required to be paid prior to the start of work on additional revisions/designs.

2.3 Rights in Logo Design: Notwithstanding anything to the contrary in these terms and conditions, with regard to the Logo Design Service only, and upon payment in full, the Client has ownership of the final Logo Design provided to the Client by 123 Reg (“Final Logo Design”) for use in any manner the Client deems appropriate. The Client acknowledges that its ownership rights under these terms and conditions is limited to the Final Logo Design, and that the Client has no ownership interest in any components contained in or made a part of the final Logo Design, including any trademarks, service marks, or copyrighted works therein, (collectively, “123 Reg Pre-Existing IP”), and that 123 Reg expressly reserves all right, title and interest in and to the same. Notwithstanding that, 123 Reg hereby grants the Client a worldwide, royalty-free, perpetual and irrevocable right and license to 123 Reg Pre-Existing IP contained in or made part of the Client’s Final Logo Design for use as contemplated by the Client. The Client hereby grants us a royalty-free, perpetual, irrevocable, sub-licensable, non-exclusive, worldwide right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, communicate to the public, perform and display (in whole or in part), and/or incorporate in other works the Logo Design, in any form, media, or technology now known or later developed for promotional purposes of 123 Reg and/or 123 Reg’s Logo Design Service.

2.4 Disclaimers: The Client hereby acknowledges that 123 Reg shall have no obligation or duty to perform trademark, service mark or copyright searches or inquiries, or the like, in order to validate the propriety or legality of the final Logo Design. Accordingly, the Client is encouraged to perform its own independent searches with regard to the Logo Design. Furthermore, the Client acknowledges that 123 Reg shall have no responsibility or obligation of any kind to assist the Client in seeking state, federal, country or international intellectual property protection (i.e., without limitation, trademark or copyright registration) for the Logo Design, nor shall 123 Reg be responsible to assist in any way in the Client’s attempt to procure or perfect such rights in the Logo Design. The Client understands that it is the Client’s obligation alone to copyright the logo design and/or seek trademark protection to the extent the Client deems appropriate and/or necessary.
